Terms of Service

The agreement between you and us when you use Catalyst.

1. Who we are

2. The agreement

These terms apply as soon as you create an account, accept a workspace invitation, or use the service. If you use Catalyst on behalf of a company, you confirm you are authorised to bind that company, and “you” means the company.

3. Business use

Catalyst is a professional tool offered to businesses and professionals, not to consumers. You confirm that you use the service for business purposes.

4. Your account

Keep your credentials confidential and tell us promptly about any suspected unauthorised use. You are responsible for activity under your account and for the actions of the members you invite to your workspaces.

5. The demo workspace

The public demo is a shared environment: every visitor uses the same workspace, its contents are visible to all of them, and it is reset regularly. Do not put real, confidential or personal data into the demo. It is provided as-is, for evaluation only.

6. Plans, prices and payment

Current plans, prices and plan limits are shown on our pricing page and in the app's billing settings. Prices are exclusive of VAT and other applicable taxes. Paid plans are billed per active user through Stripe and renew monthly until cancelled; you can cancel any time with effect from the end of the billing period. We may change prices or plan limits with at least 30 days' notice to the workspace's admins.

7. Your data

Your workspace content — connection settings, contracts, validation results, uploaded files, and any data read from your warehouses — remains yours. We access warehouses read-only, using the credentials you supply, and only to provide the service. Where that data contains personal data, we process it as your processor under our Privacy Policy; a data processing agreement is available on request. You are responsible for having the right to connect the systems and process the data you point Catalyst at.

8. Acceptable use

You agree not to:

  • break the law, or infringe others' rights, using the service;
  • probe, breach or overload the service or interfere with other tenants;
  • connect systems or data you are not authorised to access;
  • resell the service without our written agreement.

We may suspend accounts that violate these rules, after notice where practicable.

9. Intellectual property

We retain all rights to the Catalyst software and brand. You receive a non-exclusive, non-transferable right to use the service for the duration of your subscription. Feedback you give us may be used to improve the product.

10. Availability and support

We work hard to keep Catalyst available and your data safe, but the service is provided “as is”, without uptime guarantees or warranties of fitness for a particular purpose, unless agreed otherwise in an enterprise agreement. Validation results support — but do not replace — your own data controls.

11. Liability

To the extent permitted by law, our total liability under this agreement is capped at the fees you paid us in the twelve months before the event giving rise to the claim, and we are not liable for indirect or consequential damage such as lost profits or lost data. Nothing in these terms limits liability for fraud, wilful misconduct or gross negligence.

12. Term and termination

You can stop using the service and cancel your subscription at any time. We may terminate free accounts with 30 days' notice, and any account immediately for material breach. On termination we delete your workspace data on request, subject to legal retention duties.

13. Changes to these terms

We may update these terms; material changes will be announced to account holders at least 30 days in advance. Continued use after the effective date is acceptance.

14. Law and venue

These terms are governed by Belgian law. Disputes go to the courts of Ghent, Belgium.
